Non-Disclosure Agreement (NDA) for Clinic Portal Knowledge Base Access

Effective Date: May 9, 2026

This NDA is between Achieving Accreditation, LLC (“Disclosing Party”) and the individual user (“Receiving Party”) being granted access to proprietary content and tools (the “Clinic Portal Knowledge Base”).

Purpose

The Receiving Party is being granted access to confidential and proprietary information—via our Clinic Portal—for consulting or related business purposes.

Confidential Information Includes:

  • Technical documents, architecture, code, and tools related to our Clinic Portal knowledge base.
  • AI/ML methods, system designs, APIs, and scripts.
  • Business strategies, product roadmaps, and internal processes.
  • Any information marked or reasonably understood to be confidential.

Your Obligations:

By continuing, you agree to:

  • Use the information only for its intended purpose.
  • Keep it confidential and protect it like you would your own.
  • Not share it with anyone without written permission.
  • Notify us immediately of any suspected misuse or breach.

Exceptions:

  • Information that becomes public through no fault of yours.
  • Information you developed independently.
  • Information you are legally required to disclose (with notice to us).

Intellectual Property

All intellectual property remains the exclusive property of Achieving Accreditation, LLC. This NDA gives no ownership or license rights.

Duration

  • This NDA is in full force and effect for the term of the agreement between the user and Achieving Accreditation. Your confidentiality obligations remain in effect for 5 years after access ends.

Legal Remedies

If this agreement is breached, we may seek legal or equitable remedies, including injunctions.

Governing Law

This agreement is governed by the laws of Washington State.
