These Terms and Conditions (“Terms”) govern access to and use of aaahcaccreditation.com, including its restricted client areas, Knowledge Base, AI-powered interface, training resources, templates, and related online materials (collectively, the “Website”).

The Website is operated by Achieving Accreditation LLC (“Achieving Accreditation,” “we,” “us,” or “our”).

By accessing or using the Website, you agree to these Terms. If you do not agree, do not use the Website.

1. Business Use and Eligibility

The Website is intended for business users who are at least 18 years old. It is not intended for patients, children, or individuals seeking healthcare, legal, or medical advice.

If you use the Website on behalf of an organization, you represent that you are authorized to act on behalf of that organization and agree that the organization is responsible for your use.

2. Separate Client Agreements

Consulting services are governed by a separate written agreement between Achieving Accreditation and the client organization.

That agreement may address scope of work, fees, invoicing, cancellations, refunds, travel expenses, confidentiality, intellectual property, and other service terms.

If these Website Terms conflict with a signed client agreement, the signed client agreement controls with respect to the consulting services and client relationship.

Prices and service descriptions displayed on the Website are informational and do not create an obligation to provide services until the parties sign an applicable agreement.

3. Independent Consulting Organization

Achieving Accreditation LLC is an independent consulting organization. We are not the Accreditation Association for Ambulatory Health Care (“AAAHC”) and are not affiliated with, sponsored by, or endorsed by AAAHC unless expressly stated in writing.

AAAHC independently determines whether an organization qualifies for accreditation. Achieving Accreditation cannot control or guarantee the outcome of an accreditation application, review, or survey.

References to AAAHC and its standards are used to identify the accreditation framework for which consulting and preparation services may be provided.

4. No Legal or Medical Advice

Website content, consulting resources, templates, training materials, and AI-generated responses are provided for educational, operational, and accreditation-preparation purposes.

They do not constitute legal advice, medical advice, a legal opinion, or a guarantee of regulatory compliance or accreditation.

Clients remain responsible for:

– Obtaining advice from qualified legal, medical, accounting, human-resources, cybersecurity, and other professionals when appropriate.
– Reviewing and approving policies and procedures before implementation.
– Adapting materials to their organization, services, personnel, and applicable state and federal laws.
– Maintaining compliance with current accreditation requirements and applicable law.
– Exercising independent professional and clinical judgment.

5. Client Accounts

Access to restricted Website areas is limited to authorized users of current client organizations.

Each authorized user must have an individual account. Users may not share usernames, passwords, authentication codes, or account access with another person.

You are responsible for:

– Providing accurate account information.
– Protecting your login credentials.
– Restricting access to your account.
– Promptly notifying us about suspected unauthorized access.
– All activity occurring through your account, except to the extent caused by our own failure to use reasonable security measures.

We may suspend or terminate access when we reasonably believe an account has been shared, compromised, misused, or used in violation of these Terms.

6. Duration of Knowledge Base Access

Unless a signed client agreement provides otherwise, standard Knowledge Base access continues during the client’s accreditation-preparation engagement and ends when the client becomes accredited or when the client relationship is otherwise terminated.

A client may receive continued access while covered by an active annual maintenance agreement. Continued access ends when that agreement expires or is terminated.

Ending online access does not remove restrictions governing previously accessed or downloaded materials.

7. Limited Organizational License

Subject to these Terms and the signed client agreement, Achieving Accreditation grants the client organization a limited, nonexclusive, nontransferable, and non-sublicensable right to use authorized materials internally within the licensed organization.

Materials may not be shared with:

– Affiliated or separately operated clinics.
– Other organizations or clients.
– Outside consultants.
– Professional associations.
– Online groups, file-sharing platforms, or content repositories.
– Any person who is not an authorized user or employee of the licensed organization.

Unless expressly authorized in writing, users may not:

– Sell, sublicense, publish, distribute, or commercially exploit our materials.
– Copy materials for another organization.
– Remove copyright, trademark, attribution, or proprietary notices.
– Use automated systems to extract or reproduce Website or Knowledge Base content.
– Use our content to create or train a competing product, consulting service, database, or AI system.
– Represent our materials as independently authored by another person or organization.

Clients may adapt authorized templates for their own internal operations, subject to their signed agreement.

8. AI-Powered Knowledge Base

The restricted Knowledge Base may include an AI-powered interface provided through Chatbase or related service providers.

AI-generated responses may be incomplete, outdated, inaccurate, or unsuitable for a particular organization. Users must independently review responses and verify them against current laws, regulations, accreditation standards, professional guidance, and organizational circumstances before relying on them.

Users must not enter:

– Patient names or identifiers.
– Dates of birth or medical-record information.
– Protected health information.
– Personal reproductive-health information.
– Employee or personnel records.
– Passwords, authentication codes, or security credentials.
– Confidential, proprietary, or legally privileged information.
– Information the user is not authorized to disclose.

Use fictional or properly de-identified examples only.

Achieving Accreditation may restrict or terminate AI access when necessary to address security, privacy, legal, technical, or misuse concerns.

9. Prohibited Conduct

You may not use the Website to:

– Violate any law, regulation, contract, or third-party right.
– Gain unauthorized access to an account, server, system, or data.
– Interfere with Website availability, security, or operation.
– Introduce malware, harmful code, or unauthorized automated requests.
– Scrape, crawl, harvest, or systematically copy Website content.
– Circumvent access controls or usage restrictions.
– Impersonate another person or misrepresent your affiliation.
– Upload or transmit information you do not have the legal right to use.
– Share client-only materials outside the licensed organization.
– Test or probe the Website for vulnerabilities without written authorization.

10. Intellectual Property

The Website and its original content, including text, templates, policies, training resources, graphics, designs, databases, Knowledge Base content, selection and arrangement of materials, and other proprietary resources, are owned by or licensed to Achieving Accreditation.

Except for the limited organizational license expressly granted above or in a signed agreement, no ownership rights are transferred to a user or client.

Third-party names, trademarks, accreditation standards, and materials remain the property of their respective owners.

11. Website Availability and Changes

We may update, modify, replace, restrict, suspend, or discontinue Website features or content when reasonably necessary.

We do not guarantee that:

– The Website will always be available or uninterrupted.
– Every error or security vulnerability will be prevented.
– All content will remain available indefinitely.
– A particular browser, device, plugin, or third-party service will remain compatible.
– Information will always reflect the most recent legal or accreditation change.

We may perform maintenance and make security-related changes without advance notice.

12. Third-Party Services and Links

The Website may use or link to third-party services, including Chatbase and Mailchimp. Third-party services are governed by their own terms, privacy policies, and operational practices.

We are not responsible for third-party websites or services that we do not control. The presence of a link does not necessarily constitute endorsement.

13. Disclaimer of Warranties

To the fullest extent permitted by law, the Website and its content are provided “as is” and “as available.”

Achieving Accreditation disclaims warranties that are not expressly included in a signed client agreement, including implied warranties of merchantability, fitness for a particular purpose, title, noninfringement, accuracy, and uninterrupted availability.

Nothing in these Terms excludes a warranty or right that cannot lawfully be excluded.

14. Limitation of Liability

To the fullest extent permitted by law, Achieving Accreditation will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from Website use, loss of access, loss of data, reliance on AI-generated information, accreditation decisions, or unauthorized use of an account.

Achieving Accreditation is not responsible for decisions made by AAAHC, government agencies, licensing authorities, healthcare professionals, or other independent third parties.

Any additional limitations or remedies relating to paid consulting services are governed by the applicable signed client agreement.

These limitations do not apply where liability cannot legally be limited.

15. Responsibility for Misuse

To the fullest extent permitted by law, you and the client organization are responsible for claims, losses, or expenses resulting from:

– Your violation of these Terms.
– Unauthorized sharing or commercial use of our materials.
– Information you improperly enter into the AI interface.
– Your violation of another person’s privacy, confidentiality, intellectual-property, or contractual rights.
– Use of the Website through an account you were responsible for protecting.

This section does not require responsibility for losses caused by Achieving Accreditation’s own unlawful conduct.

16. Suspension and Termination

We may suspend or terminate access for:

– Credential sharing.
– Unauthorized distribution of materials.
– Security threats or suspected account compromise.
– Failure to maintain an applicable client or maintenance agreement.
– Material violation of these Terms or a signed client agreement.
– Conduct that creates legal, operational, or reputational risk.

Provisions concerning intellectual property, confidentiality, disclaimers, limitations of liability, and dispute resolution survive termination where applicable.

17. Privacy

Our collection and use of personal information are described in our Privacy Policy. By using the Website, you acknowledge that you have had an opportunity to review that policy.

18. Governing Law and Venue

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

Unless a signed client agreement provides otherwise, legal proceedings concerning these Terms must be brought in a state or federal court with appropriate jurisdiction in or serving Clark County, Washington.

19. Changes to These Terms

We may update these Terms periodically. The revised Terms will be posted with a new effective date.

Material changes affecting restricted client access may also be communicated through the Website, by email, or during account login. Continued use after revised Terms become effective constitutes acceptance to the extent permitted by law.

20. Severability and Waiver

If a provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

Failure to enforce a provision on one occasion does not waive our right to enforce it later.
